Legal Officer

The context

Terre des Hommes Netherlands (TdH NL) started in the Netherlands around 1965 with a grassroots approach, engaging volunteers in the Netherlands in international relief programs focused on mothers and children affected by humanitarian crises. From an initial voluntary and relief style approach the organisation evolved since the early 90’s to an organisation focused on fighting child exploitation and child abuse and neglect with an activistic approach aiming to ‘catch the perpetrators’. This led to a growing organisation, with a large private donor base and positive recognition for the approach by any donors and colleague organisations.

However, internally, the organisation and its programme experts developed a more rights based approach, rather than continuing the activist approach. As the organisation became more successful in attracting experts with expertise in child rights, education and child safeguarding, there was a growing critique on the approach and a growing drive to become more professional with a rights based approach and a strategy more focussed on achieviong the SDG’s with a balance between community led child protection - reducing the offer of children for exploitation - and a partnership approach aiming to reduce the demand for children in abusive situations. Obviously this approach includes working together with local and national authorities and raising awareness and strengthening capacities. This change meant a transformation from attacking the perpetrator to a comprehensive approach, including victim and survivor support.

This new and changing internal and external context with a stronger emphasis on working with children and youth, communities and authorities and a range of local and international partners, requires an organisation with a stronger focus on Integrity and Compliance, within the organisation as well as with our partners.

Since December 2021 a new structure for the organisation has been considered, which has been endorsed by the Board and WoCo and is being implemented as of June 2022.

This new structure includes a team for Integrity and Compliance. This team reports to the CEO and has a dotted line to the Supervisory Board, as integrity or compliance matters may implicate the CEO and therefore may have to be escalated to Board level. This includes quarterly reporting on Integrity and Compliance to our supervisory Board.

In this team Compliance has been added to the scope, as Integrity and Compliance with the many standards in our sector as well as set by the organisation need equal attention and leadership.

The role of Integrity, Legal and Compliance

Terre des Hommes has a moral duty to run activities with the utmost respect for the people with whom we work. For this reason, we require all staff, partners, volunteers and collaborators to adhere to the highest standards of behaviour at all times and in all places, based on humanitarian principles and our organisation’s values.

In order to ensure the organisation meets the highest standards in ethical behaviour in our sector, the organisation needs to implement external standards and set its own standards and frame these in a comprehensive system under the Code of Conduct combined with a Speak Up system and overseen by the Integrity and Compliance Team.

While many standards are in place, the team needs to continue reviewing where we are and if we are in line with the highest standards in our sector. The team also needs to make sure that all staff are well aware of these standards, sign up for compliance and are regularly engaging in (self-)learning programs, including peer-review and continuous improvement.

Position reports to: the Manager Integrity & Compliance

As legal counsel you will work closely with the Managing Director on preparing management and board meetings and ensuring follow up and work closely with the Operations Director on preparing for the non-financial audits and related compliance issues.

What will you do and how will you make an impact?

We see integrity and compliance as a collective responsibility. Ultimately our Supervisory Board, Senior Management and Line Management are responsible for compliance throughout our organisation with our internal, national and international standards.

The legal officer will be responsible for coordinating all matters and developments regarding compliance within our organisation and for working together with the Manager Integrity and Compliance in implementing our integrity system.

Management and Board Support

As legal officer you will serve as legal counsel and as such you will be functioning as Secretary to the International Management Team and Supervisory Board.

You will prepare the agenda for the meetings, prepare the minutes of the meetings and keep track of the actions and ensure appropriate document management.

Within this responsibility the Legal Officer keeps track of all compliance matters and as such supports management with due diligence, monitors International, National and internal developments and makes sure that our policies and standards and related documents are up to date, appropriately disseminated and accessible to the organisation.

This means that oftentimes a translation of legal documents and policies has to be made into a one pager for all staff to access.

You will make sure that the Supervisory Board and Management Team adequately follow the Annual Planning & Control cycle and you will frequently review our policies and standards including our Master List of continuous improvement actions.

More specifically:

1. Oversee and support management to comply with internal planning and control standards:

  • Global Strategy
  • Annual Plans
  • Annual Accounts and Report
  • Monthly and Quarterly KPI’s

2. Oversee and support management and the organisation with internal Integrity and Compliance standards:

  • Code of Conduct and related policies and standards, such as:
  • Child Safeguarding
  • Fraud & Corruption
  • Internal Standards of Conduct
  • Speak Up! System

3. Oversee, monitor and support Management with compliance with non-financial audits and ensure staff is adequately prepared for such audits:

  • CBF
  • Partos/ISO
  • CHS
  • IATI
  • GDPR
  • Country and or Regional Contracts with host governments

4. Oversee and support the organisation with:

  • Give advice on legal requirements and processes and contract management
  • Contract Management 

What do you bring:

Education and Experience

  • Masters Degree in (international) law
  • Minimum of 3-5 years experience in a similar and/or board support role

Knowledge and Skills:

  • Knowledge and understanding of dutch law
  • Knowledge and understanding of standards in the NGO sector
  • Experience with or appreciation of quality management and standards
  • Excellent understanding of English, written and orally
  • Strong Commitment for the cause of TdH
  • Allowed to work in the NL

What does Terre des Hommes has to offer

We offer a challenging and responsible position in a changing environment. TdH-NL is a result driven, professional organization staffed by individuals dedicated and determined to prevent and fight child exploitation. We offer a salary in accordance with the function and what is common in the charitable sector, including 25 holidays and participation in a pension scheme. Initial contract period will be for one year with a possibility of extension. We work Hybride. This position is plotted in scale E. The salary will be between 3.500 and 5.000 euro's a month based on your experience and education.
